BTCS Completes Compliance Steps for DeFi Liquidity in Tokenized Stocks
BTCS's Imperium DeFi unit has completed compliance preparations for potential use of the SEC's Covered Firm exemption. The company submitted the required notice and published relevant disclosures on September 28. However, Imperium has not yet begun providing liquidity for tokenized equities, as a qualifying Tokenized Securities Venue must first become operational. BTCS has not received a broker-dealer license for Imperium, and the SEC has not endorsed its tokenized-equity strategy. The exemption allows qualifying firms to provide liquidity through automated market maker pools on eligible venues without being classified as dealers, but it does not imply SEC approval. Imperium currently deploys crypto assets into DeFi protocols, and tokenized equities would expand its business into regulated securities on blockchain. As trading shifts to blockchain-based venues, automated market maker pools may become integral to market structure, raising regulatory challenges. BTCS is among the first public crypto companies preparing for this framework, focusing on compliance rather than immediate revenue. While Imperium has completed necessary paperwork, the actual liquidity provisioning will await the operational status of the required venue.
