  1. The reported goal was to secure U.S. securities licenses and infrastructure, and MoonPay’s own announcement sharpens that into a more precise corporate target: NCIT, not just the broader North Capital brand. PPEX disclosures also show that the securities activity sits with North Capital Private Securities Corporation inside that structure, which means the deal is more than a software acquisition but less than proof of an immediate retail tokenized-share launch.
  2. The stronger signal is vertical integration. MoonPay has been building tokenized-asset infrastructure, and this transaction would add a regulated brokerage-and-ATS pathway that synthetic stock products do not provide. The next meaningful change for U.S. users is not the signing itself but a closing notice, updated regulated-entity disclosures, and product documents that show who can buy what under which exemption.

MoonPay said on 2026-09-23 that it entered into a definitive merger agreement to acquire North Capital Investment Technology, Inc., or NCIT, the parent tied to a private-securities trading stack that includes broker-dealer activity and the PPEX alternative trading system. MoonPay said NCIT would become a wholly owned subsidiary when the transaction closes, and that the deal is expected to add securities brokerage and investment-advisory businesses to MoonPay’s platform. That makes the announcement strategically important, but it is still an announced agreement rather than a completed transfer of regulated control.

MoonPay’s target is NCIT and its securities stack

MoonPay’s announced acquisition is for North Capital Investment Technology, Inc., and that matters because the confirmed transaction is tied to a specific corporate parent with regulated market functions around it. In the announcement, MoonPay said it signed a definitive merger agreement and expects the acquisition to add North Capital’s securities brokerage and investment-advisory businesses to its financial infrastructure platform.

PPEX’s own disclosures add the missing structural detail. They identify NCPS as the entity conducting securities activity on the site, and describe NCPS as an SEC-registered broker-dealer and a FINRA and SIPC member. Those disclosures also say NCPS is a subsidiary of NCIT and operates the site using NCIT technology. The practical takeaway is that MoonPay has signed for a parent linked to both market technology and a named securities entity, which is why the deal carries more regulatory weight than a normal fintech acquisition.

PPEX points to secondary private-security trading mechanics

The clearest current mechanism is a broker-dealer-plus-ATS setup designed for private or exempt securities workflows, especially secondary liquidity. PPEX says its venue provides issuers with a marketplace to facilitate secondary transactions and offers investors tools to buy and sell securities through two order types: limit orders and requests for quote.

Those operating details make the acquisition easier to interpret. PPEX says orders can be accepted around the clock, while matching occurs during market hours from 9:30 a.m. to 5:00 p.m. Eastern. It also says orders and executed trades are retained in a permanent order log. Separately, a historical SEC-filed agreement described NCPS as the operator of the Public Private Execution Network Alternative Trading System and stated that PPEX ATS had filed Form ATS.

That does not turn MoonPay into a public tokenized-stock exchange overnight. What it does show is why North Capital is useful: the stack appears built to handle regulated brokerage activity and secondary trading workflows for private-market securities. That is a more concrete path into onchain capital markets than simply offering price-tracking products, but it still leaves major product-level questions unresolved.

What U.S. tokenized-share access still depends on

No, the announcement alone does not establish that MoonPay can now legally offer tokenized shares to American investors as a present-tense product. The confirmed facts support a signed merger agreement and an intended addition of brokerage and advisory capabilities after closing. They do not yet establish that the deal has closed, which authority approved it, what entity would distribute any future product, or how investor eligibility would be defined.

That gap matters because selling tokenized securities in the United States depends on more than owning regulated infrastructure. It also depends on the legal form of the security, the role of the broker-dealer, any trading-venue restrictions, transfer-agent and custody arrangements, and the exemption or registration path used for the offering. The original coverage connected the strategy to exemptions such as Regulation CF, Regulation A+, and Regulation D, but no product documentation in the available materials shows that those routes are live or which investors would qualify.

The current state of play is therefore straightforward: MoonPay has moved closer to owning a regulated private-markets stack, but U.S. tokenized-share distribution remains a post-closing and product-structure question rather than a confirmed launch.
